These Terms of Service govern your relationship with Kamlogic and the use of our software development, maintenance, and consulting services.

Welcome to Kamlogic

By engaging our services or accessing our platforms, you agree to be bound by these Terms. We specialize in surgical interventions for web applications, primarily utilizing the Laravel ecosystem.

Services & Scope of Work

Kamlogic specializes in the maintenance, stabilization, and extension of web applications, primarily utilizing the Laravel ecosystem.

Surgical Interventions

Our services often involve working on existing "legacy" codebases. We do not guarantee the performance of code written by previous third-party developers, though our goal is to stabilize and optimize it.

Audit Requests

Technical audits are snapshots of your system at a specific time. They are intended for advisory purposes and do not constitute a warranty of future system behavior.

Intellectual Property (IP) Ownership

Client Ownership

Upon full payment, you own all custom code and documentation developed specifically for your project.

Proprietary Tools

We grant you a non-exclusive, perpetual license for our internal libraries integrated into your project.

Open Source

Contributions to open-source packages remain under their respective licenses.

Support & Maintenance Tiers

Standard Retainers

Hours included in monthly retainers do not roll over to the next month unless explicitly agreed upon in writing.

Emergency Support

"Emergency" is defined as a total system outage or critical data loss in a production environment.

Non-urgent requests made outside of business hours (GMT+1) will be addressed during the next business cycle.

Third-Party Services

We are not responsible for outages caused by third-party infrastructure (e.g., AWS, DigitalOcean, Laravel Forge, Paystack).

Client Responsibilities

To perform our "Surgical Interventions," the Client must:

Provide necessary access to version control and hosting environments

Maintain backups of all data prior to commencement of work

Ensure legacy code doesn't infringe IP rights

Provide access to third-party APIs as needed

Payments & Refunding

Invoicing

Fixed-price projects require 100% upfront payment. Retainers are billed at the start of each service month.

Refund Policy

Due to the nature of professional engineering services, fees are non-refundable once work has commenced.

Arbitrage Context

Our pricing reflects our operational base in Africa. Clients acknowledge that this does not diminish the seniority or quality of the engineering provided.

Liability & Warranties

"As-Is" Basis

Services are provided "as-is." While we strive for 100% stability, Kamlogic does not warrant that software will be entirely error-free, especially when integrating with legacy logic.

Limitation of Liability

In no event shall Kamlogic be liable for any lost profits, data loss, or indirect damages. Our total liability is limited to the amount paid by the Client for the specific service giving rise to the claim.

Confidentiality & NDA

We treat all client codebases and business logic as strictly confidential. We are happy to execute a separate Non-Disclosure Agreement (NDA) for deep-dive audits and long-term partnerships.

Termination

Either party may terminate a retainer agreement with 30 days' written notice. Upon termination, Kamlogic will hand over all Work Product and credentials, provided all outstanding invoices are settled.

Governing Law

These Terms are governed by the laws of Nigeria, without regard to its conflict of law principles.
